Agreement to terms

These Terms of Service ("Terms") form a binding agreement between you and Notioff ("Notioff," "we," "us," or "our") and govern your access to and use of our website, applications, and services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of the service

Notioff is an all-in-one workspace that lets you write notes, build documents and wikis, organize databases, and manage projects in one place. We may add, change, or remove features over time to improve the Service. We aim to keep the Service available and reliable, but it is provided on an ongoing basis and may occasionally be unavailable for maintenance or reasons beyond our control.

Eligibility and accounts

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. To use most features you need an account. You agree to provide accurate and complete information when you register and to keep it up to date.

You are responsible for your account and for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Please notify us promptly at info@notioff.org if you believe your account has been accessed without authorization.

Acceptable use

You agree to use the Service lawfully and responsibly. Prohibited conduct includes, among other things, illegal activity, infringement of others' rights, distributing malware, and attempting to disrupt or gain unauthorized access to the Service. Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms.

Your content and ownership

You retain all ownership rights in the content you create, upload, or store in the Service ("Your Content"). We do not claim ownership of Your Content.

To operate the Service, you grant Notioff a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as necessary to provide and maintain the Service for you and the collaborators you authorize. This license exists only so that we can operate the Service, and it ends when you delete Your Content or close your account, except for content retained in routine backups for a limited period or as required by law. You are responsible for Your Content and for ensuring you have the rights necessary to store and share it.

Plans, pricing, and payment

We offer a free plan and paid plans. Current prices and features are described on our Pricing page. Prices are shown in US dollars and exclude any applicable sales tax or VAT, which may be added at checkout based on your location. By purchasing a paid plan, you authorize us and our payment processors to charge your chosen payment method for the applicable fees and taxes.

Free plan and trials

The free plan is available at no cost and does not require a credit card. We may also offer trials of paid features. Unless stated otherwise, if a trial converts into a paid subscription, the applicable fees begin when the trial ends. We may change or discontinue free or trial offerings at any time.

Automatic renewal and cancellation

Paid plans renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. You can cancel at any time from your account settings; no phone call or email is required. When you cancel, your plan remains active until the end of the current billing period and does not renew after that. For full details, see our Refunds & Cancellation Policy.

Refunds

We offer a 14-day money-back window for new paid subscriptions. If you are not satisfied, you may request a refund within 14 days of the initial charge by contacting info@notioff.org. Intellectual property

The Service, including its software, design, text, graphics, logos, and the Notioff name and brand, is owned by Notioff or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written permission. Except for the limited rights expressly granted to you, we reserve all rights in the Service.

Third-party services

The Service may integrate with or link to third-party products and services that we do not control. Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, and including a link or integration does not imply our endorsement.

Disclaimers of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You are responsible for maintaining your own copies of important content.

Limitation of liability

To the fullest extent permitted by law, Notioff and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred US dollars.

Indemnification

You agree to indemnify and hold harmless Notioff and its affiliates from and against any claims, damages, losses, and reasonable expenses (including legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or applicable law, to the extent permitted by law.

Term and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or other users. When your account ends, your right to use the Service stops, and we will handle Your Content in accordance with our Privacy Policy. Sections that by their nature should survive termination will continue to apply.

Changes to the service or terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect means you accept the updated Terms. We may also modify or discontinue parts of the Service as described above.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Wisconsin will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts. Before starting a formal dispute, we encourage you to contact us so we can try to resolve the matter informally.
